ISO 42001 — What It Is and What It Is Not
Published by the International Organisation for Standardisation in December 2023, ISO/IEC 42001 is the first international management system standard specifically designed for artificial intelligence. It follows the same high-level structure (HLS) as ISO 9001, ISO 27001 and ISO 14001 — which means organisations already certified to those standards will find the framework familiar.
What ISO 42001 requires
ISO 42001 requires organisations to establish, implement, maintain and continually improve an AI management system. The standard covers: AI policy and objectives, AI risk assessment and treatment, roles and responsibilities, competence and awareness, documentation, operational planning and control, performance evaluation, internal audit, and management review. Annex A provides a set of reference controls, and Annex B provides implementation guidance for those controls.
Critically, ISO 42001 is outcome-oriented. It tells organisations what to do — establish policies, assess risks, define roles, measure performance — but does not prescribe how to do it. This flexibility is valuable for organisations at different stages of AI maturity and operating across different AI use cases.
What ISO 42001 does not do
ISO 42001 does not classify AI systems by risk. It does not specify what technical requirements apply to high-risk AI. It does not create legal obligations. It does not involve a notified body assessment. Achieving ISO 42001 certification demonstrates that your organisation has established a systematic management approach to AI — it does not demonstrate that any specific AI system is legally compliant with the EU AI Act or any other regulation.
ISO 42001 tells regulators you have a system for managing AI responsibly. The EU AI Act tells you specifically what that system must achieve for AI systems in high-risk categories. Both questions matter. Neither answers the other.
The EU AI Act — Legal Obligation, Not Voluntary Standard
The EU AI Act entered into force on 1 August 2024. Its most significant provisions — the obligations for high-risk AI systems — apply from August 2026. This is not a standard you choose to pursue. It is law that applies based on whether your AI systems meet the criteria for each risk tier, and whether you operate in or serve the EU market.
The four-tier risk classification
The EU AI Act classifies AI systems into four categories, with obligations that escalate with risk:
- Unacceptable risk — prohibited. Social scoring by public authorities, real-time biometric identification in public spaces (with narrow exceptions), AI systems that exploit vulnerabilities. These are banned outright from August 2024.
- High risk — full compliance obligations. AI systems in critical infrastructure, education, employment decisions, essential services, law enforcement, migration, and AI components in products covered by existing EU safety legislation (medical devices, machinery, vehicles). Full conformity assessment, technical documentation, CE marking, and registration in the EU database are required.
- Limited risk — transparency obligations. Chatbots, deepfakes, emotion recognition systems. Must disclose AI nature to users.
- Minimal risk — no specific obligations. Most AI applications in games, spam filters, etc.
What high-risk compliance actually requires
For high-risk AI systems, the EU AI Act mandates: a risk management system throughout the AI lifecycle, data governance for training, validation and testing datasets, technical documentation, transparency and provision of information to users, human oversight measures, accuracy and robustness specifications, and for certain systems, conformity assessment by a notified body. These are specific, prescriptive, legally enforceable requirements — not management system principles.

Where They Overlap — The Efficiency Opportunity
The distinction between ISO 42001 and the EU AI Act does not mean they must be addressed as entirely separate workstreams. There is meaningful overlap — and organisations that identify it will avoid significant duplicate effort.
Risk assessment
ISO 42001 requires a systematic AI risk assessment. The EU AI Act requires a risk management system for high-risk AI systems. These are not identical — the EU AI Act risk management system has specific required elements — but a well-designed ISO 42001 risk assessment process provides the organisational foundation on which the EU AI Act risk management system can be built.
Data governance
ISO 42001 Annex A includes controls related to data quality and management for AI systems. The EU AI Act Article 10 specifies detailed data governance requirements for high-risk AI training, validation and testing datasets. The EU AI Act requirements are more prescriptive and more demanding — but an organisation that has implemented ISO 42001 data controls has done meaningful groundwork.
Documentation
ISO 42001 requires documented information across the management system. EU AI Act Annex IV specifies the technical documentation content for high-risk AI systems — in detail. ISO 42001 documentation practice does not directly produce EU AI Act technical documentation, but the culture and systems for maintaining controlled documentation carry across.
Human oversight
Both frameworks address human oversight of AI systems — ISO 42001 through management system controls, the EU AI Act through specific requirements for high-risk systems including human intervention capability, override functions, and monitoring. The EU AI Act requirements are more prescriptive and system-specific, but ISO 42001 creates the governance context in which they are implemented.
The Integrated Strategy — Build Once, Satisfy Both
The practical approach for organisations facing both frameworks is to build an integrated AI governance programme that addresses ISO 42001 at the management system level while embedding EU AI Act compliance requirements at the system-specific level for any AI that falls within the high-risk categories.
- Conduct an AI inventory and dual classification. Identify every AI system your organisation develops or deploys. Classify each system under both frameworks: against ISO 42001 risk categories and against the EU AI Act four-tier classification. This single exercise reveals where you have high-risk obligations under the EU AI Act and informs the depth of ISO 42001 controls required for each system.
- Design the AI management system to accommodate EU AI Act requirements. Structure your ISO 42001 AI management system so that the EU AI Act technical requirements for high-risk systems are built into the operational controls, not appended as a separate workstream. Your risk management procedure should explicitly include EU AI Act risk management elements for high-risk systems. Your documentation procedure should include EU AI Act Annex IV technical file production as a required output.
- Maintain system-specific EU AI Act technical files. For each high-risk AI system, maintain the EU AI Act technical documentation as a standalone artefact referenced by, but separate from, your ISO 42001 documentation. This makes conformity assessment evidence straightforward to present — to either a notified body or a market surveillance authority.
- Implement the human oversight requirements at system level. EU AI Act human oversight requirements are system-specific and technically detailed. Implement them at system design and deployment level, with your ISO 42001 management system providing the governance framework that ensures they are maintained, tested and updated throughout the AI lifecycle.
- Register high-risk AI systems in the EU database. The EU AI Act requires registration of high-risk AI systems in the EU AI Act database before market placement. This is an EU AI Act-specific obligation with no ISO 42001 equivalent. Build it into your AI system launch process as a mandatory gate.
- Establish a horizon scanning function. Both frameworks will evolve. The EU AI Act has a built-in review mechanism. ISO 42001 will be revised. Your AI governance function needs a process for monitoring regulatory change and updating both the management system and system-specific compliance measures in response.
Three Mistakes That Are Already Happening
Treating ISO 42001 certification as EU AI Act compliance evidence
Several technology organisations have published claims — in investor communications, client proposals and public statements — that their ISO 42001 certification demonstrates EU AI Act compliance. It does not. An ISO 42001 certificate demonstrates that your AI management system meets the standard's requirements. A market surveillance authority enforcing the EU AI Act will not accept it as evidence of high-risk AI system compliance. The two instruments operate in different legal and regulatory registers entirely.
Making false or misleading claims about EU AI Act compliance — including implying that ISO 42001 certification demonstrates regulatory compliance with the EU AI Act — may itself constitute a violation of the Act's transparency requirements and could attract enforcement attention from national market surveillance authorities.
Scoping EU AI Act obligations too narrowly
Many technology organisations have concluded, after a rapid internal review, that none of their AI systems are high-risk under the EU AI Act. In our experience, this conclusion is frequently wrong. The Annex III list of high-risk AI use cases is broader than it first appears — particularly for organisations in HR technology (AI in recruitment and performance management), financial services (creditworthiness assessment), and enterprise software (AI components in safety-critical industrial applications). The embedded AI assessment needs to cover every AI component in every product, not just bespoke AI systems built from scratch.
Delaying EU AI Act compliance until after ISO 42001 certification
Some organisations have decided to pursue ISO 42001 certification first and address EU AI Act compliance afterwards. Given that August 2026 high-risk obligations are already close, this sequence creates unnecessary regulatory exposure. An integrated programme that works toward both simultaneously is both faster and more cost-effective than two sequential programmes.
